Acceptance of Terms

By creating an account, accessing the platform, or making payment, you confirm that you have read, understood, and agree to these Terms of Service and our Privacy Policy.

If you are using ClinPlacer on behalf of an institution, you represent that you have the authority to bind that institution to these terms.

Account Responsibilities

You are responsible for the security and proper use of your account:

✓ Maintain confidentiality of your login credentials
⚠ Notify us immediately of any unauthorized account access
✕ Do not share your account with unauthorized users
🔒 Use strong passwords and enable two-factor authentication when available

Subscription & Payments

All subscriptions are subject to the following terms:

💳 Subscriptions are billed in advance via M-Pesa or bank transfer
🔄 Subscriptions renew automatically unless cancelled before renewal date
📄 All fees are non-refundable except as required by Kenyan law
📊 Exceeding student limits may require a plan upgrade at renewal
⏰ Failed payments may result in service suspension after grace period

Acceptable Use Policy

You agree not to use the platform to:

✕ Engage in unlawful activities or violate any local, national, or international laws
🔧 Attempt to reverse engineer, decompile, or interfere with the platform
👤 Impersonate others, provide false information, or misrepresent your identity
🐛 Introduce malware, viruses, or any harmful code
⚡ Overload or disrupt our servers or network infrastructure
📤 Extract, scrape, or harvest user data without authorization

Content & Data Ownership

You retain full ownership of all data you upload to ClinPlacer, including student records, placement details, assessments, and institutional information.

By using ClinPlacer, you grant us a limited, non-exclusive license to process and display this data solely to provide the service. We will never sell or share your data with third parties.

You can export your data at any time from the platform dashboard.

Intellectual Property

The ClinPlacer platform, including its design, code, features, logos, and branding, is owned by ClinPlacer Kenya and protected by copyright and intellectual property laws.

You may not copy, modify, distribute, or create derivative works without our written permission.

Service Availability & Maintenance

We strive for 99.9% uptime, but do not guarantee uninterrupted access. The platform may be temporarily unavailable due to:

Scheduled maintenance (communicated 48 hours in advance)
Emergency security updates
Force majeure events beyond our control
Third-party service disruptions (internet, hosting providers)

Account Termination

We may suspend or terminate your account if you:

Violate these Terms of Service
Fail to pay subscription fees
Engage in fraudulent or abusive behavior
Request account closure

Upon termination: You can request a complete data export within 30 days. After this period, your data will be permanently deleted from our systems.

Limitation of Liability

ClinPlacer is provided "as is" and "as available". To the fullest extent permitted by law:

We make no warranties regarding accuracy, reliability, or availability
We are not liable for indirect, incidental, or consequential damages
Our total liability is limited to fees paid in the last 12 months
We are not responsible for data loss due to user error

Indemnification

You agree to indemnify and hold ClinPlacer harmless from any claims, damages, or expenses arising from your use of the platform, violation of these terms, or infringement of third-party rights.

Governing Law & Dispute Resolution

These terms are governed by the laws of the Republic of Kenya.

Any disputes will be resolved through good-faith negotiation. If unresolved, disputes will be subject to the exclusive jurisdiction of Kenyan courts.

Changes to These Terms

We may update these Terms of Service from time to time. Material changes will be communicated via email and posted on this page. Continued use of the platform after changes indicates acceptance of the updated terms.
